Terms of Service
Clear, fair terms for our wireless infrastructure partnership
Welcome to 2nd Element's Wireless Infrastructure Program! These terms govern our partnership to monetize your wireless infrastructure. By signing our contractor agreement, you accept these terms in full.
1. Internet Connection Requirements
- You must maintain your current wired internet service or better throughout this agreement
- Switching to LTE, satellite, mobile hotspot, or any wireless internet service will immediately terminate this agreement
- Any changes to your internet service provider or plan must be fommunicated to 2nd Element in writing
- Minimum speeds: 125 Mbps download, 25 Mbps upload with stable connection
- Frequent outages or degraded service may result in agreement termination or reduction of revenue
2. Equipment Ownership & Installation
- All wireless equipment installed remains the exclusive property of 2nd Element
- Professional installation and removal provided at no cost to you
- Equipment must be returned in working condition when agreement ends
- You are not responsible for normal wear, maintenance, or equipment failures
- Tampering with, relocating, or modifying equipment is prohibited
- Equipment installation requires access to power outlet and internet connection
3. Payment Terms
- Monthly payments calculated based on actual network usage data from carrier partners
- Payments calculated after each calendar month ends
- Payments deposited within 14 days of the following month's start
- Payment amounts vary based on location performance, carrier demand, and network usage
- No guaranteed minimum payments - earnings based on actual usage
- Payments made via Zelle, ACH, or other electronic transfer methods
4. Agreement Termination
- Either party may terminate this agreement for any reason with 7 days written notice
- Notice can be provided via email, phone, or written letter
- Equipment removal scheduled within 14 business days of termination notice
- Final payment processed for any partial month of service
- Agreement automatically terminates if internet requirements are not maintained
- No penalties or fees for early termination by either party
5. Responsibilities & Limitations
- This agreement begins upon successful equipment installation and network connection
- You provide location access for installation, maintenance, and removal
- 2nd Element handles all carrier relationships, technical support, and equipment maintenance
- Standard business liability insurance recommended but not required
- Neither party liable for acts of nature, internet outages, or carrier network changes
- Equipment must remain accessible for maintenance and removal
6. Data & Privacy
- Equipment processes network traffic data but does not monitor or store personal information
- All data handling complies with carrier partner privacy policies
- Network usage statistics shared only with relevant carrier partners
- No personal data collection
7. General Provisions
- This agreement governed by Oregon state law
- Any disputes resolved through good faith negotiation first
- Agreement modifications must be in writing and signed by both parties
- If any provision is unenforceable, remaining terms stay in effect
- This represents the complete agreement between parties
